Launching an Initial Token Offering from Mauritius: Legal Requirements and FSC Registration

The Virtual Asset and Initial Token Offering Services Act 2021 (VAITOSA) regulates the issuance of initial token offerings (ITOs) in Mauritius. Section 23 of VAITOSA prohibits any person from carrying out the business of initial token offerings in or from Mauritius without registration as an issuer with the Financial Services Commission (FSC).
Registration Requirements
An issuer must prepare a white paper and submit it to the FSC in such form and manner as may be specified. The white paper must contain prescribed information including the nature of the token, the intended use of proceeds, and the risk factors associated with the offering. The FSC may impose conditions on the offering to protect investors.
Investor Protections
Section 12 of VAITOSA requires issuers to provide clear and accurate information to potential investors. The FSC may require amendments to the white paper where it considers the information inadequate or misleading. Issuers must also comply with anti-money laundering obligations under Section 15 of VAITOSA.
AML Obligations
Issuers of initial token offerings must comply with the Financial Intelligence and Anti-Money Laundering Act 2002. This includes customer due diligence, transaction monitoring, record-keeping, and reporting of suspicious transactions to the Financial Intelligence Unit. The requirements align with FATF standards on virtual assets.
Penalties
Section 20 of VAITOSA provides that a person who issues initial token offerings without registration commits an offence. On conviction, a person is liable to a fine not exceeding five million rupees and to imprisonment for a term not exceeding ten years.
