Terms of Engagement

1. Introduction
These Terms of Engagement ("Terms") govern the relationship between THE LAW FIRM ("the Firm", "we", "our", or "us") and our clients ("you" or "your"). By engaging our services, you agree to be bound by these Terms.
THE LAW FIRM is a law firm registered in Mauritius, comprising both Barristers (Avocats) and Attorneys (Avoués), regulated by the Bar Council of Mauritius and the relevant professional bodies.
2. Scope of Services
We provide legal services across the following practice areas:
- Barristers (Avocats): Court advocacy, legal opinions, cross-examination, and representation before the Supreme Court, Court of Appeal, and other tribunals
- Attorneys (Avoués): Advisory services, transactional work, conveyancing, corporate and commercial law, and general legal counsel
- Forensic Services: Forensic auditing, fraud detection, AML/CFT compliance, and expert witness testimony
- Immigration Law: Occupation Permits, Premium Visas, Permanent Residency, and Family Permits
The specific scope of services for each engagement will be agreed upon in writing at the commencement of the matter through a retainer agreement or engagement letter.
3. Client Engagement
An engagement with the Firm is established through a written retainer agreement or engagement letter that specifies the scope of work, fee arrangements, and other relevant terms. No binding engagement exists until such agreement is signed by both parties.
We will assign a lead partner or senior associate to your matter who will serve as your primary point of contact. You will receive regular updates on the progress of your matter unless otherwise agreed.
4. Fees and Billing
Our fees are based on one or more of the following arrangements:
- Hourly Rates: fees are calculated based on the time spent by our professionals at their applicable hourly rates
- Fixed Fees: a predetermined fee for specific services or transactions
- Retainer: an advance payment against which fees and disbursements are charged
- Success Fees: in certain matters, a contingent fee may be agreed upon
Invoices are issued monthly unless otherwise agreed. Payment is due within thirty (30) days of the date of invoice. Late payments may incur interest at the rate prescribed under the laws of Mauritius.
All fees are exclusive of applicable taxes (including VAT where applicable) and disbursements (such as court fees, registration fees, and third-party costs), which will be charged separately.
5. Client Obligations
You agree to:
- Provide accurate, complete, and timely information and documentation
- Respond to our requests for instructions or information within a reasonable time
- Inform us of any changes in your circumstances that may affect the matter
- Comply with all applicable laws and regulations
- Pay all fees and disbursements in accordance with the agreed terms
6. Confidentiality
We owe a duty of confidentiality to all our clients. We will not disclose any information relating to your affairs to any third party without your consent, except:
- Where required by law, regulation, or court order
- Where necessary for the proper performance of our services
- Where disclosure is required by our professional regulatory bodies
- Where there is a duty to the public that overrides the duty of confidentiality
7. Conflict of Interest
Before accepting an engagement, we conduct conflict of interest checks to ensure that we can act for you without compromising our duties to other clients. If a conflict of interest is identified, we will inform you and discuss how it may be resolved or whether we are unable to proceed with the engagement.
8. Limitation of Liability
Our liability in connection with any engagement is limited to the amount of professional indemnity insurance maintained by the Firm, or such other amount as may be agreed in the engagement letter. This limitation does not apply to liability arising from fraud or wilful misconduct.
9. Data Protection
We process personal data in accordance with the Data Protection Act 2017 (DPA) of Mauritius. Please refer to our Privacy Policy for detailed information on how we collect, use, and protect your personal data.
10. Complaints Procedure
If you are dissatisfied with any aspect of our service, please raise your concern with the partner responsible for your matter in the first instance. If the matter is not resolved to your satisfaction, you may escalate your complaint to the Firm's complaints partner in writing.
You may also contact the Bar Council of Mauritius if you wish to make a formal complaint about our professional conduct.
11. Governing Law
These Terms are governed by and shall be construed in accordance with the laws of Mauritius. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mauritius.
